ACCEPTANCE OF TERMS

These terms and conditions apply to the Burvonti Web site located at www.burvonti.com, and all associated Web sites linked to www.burvonti.com by Burvonti, its subsidiaries and affiliates, including Burvonti's sites around the world (collectively, 'the Site'). Please read these terms and conditions (the 'Terms and Conditions') carefully. BY VISITING AND/OR USING THE SITE IN ANY WAY, SUCH AS BROWSING PRODUCTS OR PLACING AN ORDER, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. If you do not wish to be bound by these Conditions, do not access or use the Burvonti Site.

CHANGE OF TERMS

Burvonti reserves the right to change or modify any of these Terms and Conditions or any policy or guideline of the Site at any time, and in its sole discretion. Any change or modification will be effective immediately upon posting of the revisions on the Site. Your continued use of the Site following the posting of its changes or modifications will constitute your acceptance of such changes or modifications. You should frequently review these Terms and Conditions and any other applicable policies from time to time to understand the terms and conditions that apply to your use of the Site.

SITE CONTENT & INTELLECTUAL PROPERTY

The Site and all content and other materials, including, without limitation, the Burvonti logo, and all designs, text, icons, graphics, logos, images, pictures, selection, coordination, 'look and feel', information, data, software, sound files, other files and the selection and arrangement thereof (collectively, the "Site Materials") are the proprietary property of Burvonti or its affiliates, licensors or users and are protected by United States and international trade dress, copyright laws, patent and trademark laws, and various other intellectual property rights and unfair competition laws. You are authorized to use this material only for personal, non-commercial purposes. Any use of our Site or the Site Materials other than as specifically authorized herein, without the prior written permission of Burvonti, is strictly prohibited and will terminate the license granted herein.

TRADEMARKS

Burvonti, the Burvonti logos, and any other product or service name or slogan contained in our Site are trademarks of Burvonti and/or its licensors, and may not be copied, imitated or used, in whole or in part, without the prior written permission of Burvonti or the applicable trademark holder. You may not use any metatags or any other "hidden text" utilizing "Burvonti" or any other name, trademark or product or service name of Burvonti without our prior written permission.

USE OF THE SITE & RESTRICTIONS

You are granted a personal, limited, non-sublicensable license to access and use our Site. This license does not include: (a) any resale or commercial use of our Site or the Site Materials; (b) the collection and use of any product listings, pictures or descriptions for commercial purposes; (c) the distribution, public performance or public display of any Site Materials; (d) use of any automated means to access, monitor or interact with any portion of our Site, including through data mining, robots, spiders, scraping, or similar data gathering or extraction methods; (e) cause to appear any pop-up, pop-under, exit windows, expanding buttons, banners, advertisement, or anything else which minimizes, covers, or frames or inhibits the full display of our Site; or (f) any use of our Site or the Site Materials other than for its intended purpose.

PRODUCT AVAILABILITY & PRICING ERRORS

On occasion, you may be able to place a product in your shopping cart and submit your order for processing, but your order is subsequently cancelled due to unavailability of product. You acknowledge that products may sell quickly and there may be a short period of time after an order has been submitted where the product is no longer available. In rare circumstances, data, including prices, may be inaccurately displayed on our Site due to system or typographical errors. Inadvertent errors or inaccurate advertised prices are not binding on Burvonti, and may be adjusted by Burvonti at any time. Burvonti reserves the right to correct any and all errors when they do occur. If an order is placed with a lower product's listed price than the actual price, Burvonti will, at its discretion, either advise the customer before shipping or cancel the order.

PRODUCT DESCRIPTIONS & TOLERANCES

Products may appear on the Burvonti website larger or smaller than their actual size due to screen settings and photography techniques. In compliance with industry standards and FTC regulations, carat total weight may vary 0.05 carats from stated weight. For diamond jewelry set with multiple diamonds, we provide the minimum total carat weight for the piece. All representations including representations regarding gemstone origin, recycled content of precious metals, and sourcing information, are provided to the best of Burvonti's knowledge and without guarantee or warranty of any kind.

YOUR ACCOUNT, SECURITY & CHARGEBACKS

You are solely responsible for maintaining the confidentiality of your account and for restricting access to your computer. You are responsible for all activities that occur under your account. In the case where a customer files a credit card chargeback or dispute without valid legal grounds, Burvonti reserves the right to recover its direct and indirect costs (including administrative, chargeback fees, and legal costs), and to cancel any promotional items, free shipping, or other benefits, as determined in Burvonti's sole and absolute discretion.

COMPARISON PURCHASING

We do not allow comparison purchasing. Comparison purchasing is the act of buying several items with the intent of keeping the one you like best and returning the remainder. This causes undue restocking and inventory overhead and can be very costly. To confirm the quality of a jewelry item, please contact our experts at support@burvonti.com.

DIAMOND CERTIFICATES (GRADING REPORTS)

When you order a diamond, Burvonti will ship it with the accompanying diamond grading report (certificate) from a respected laboratory (e.g., IGI or GIA). These grading reports are extremely expensive to replace. If you do not include the original grading report with your return in an undamaged condition, you will be charged a mandatory replacement fee of $200 USD.

PASSAGE OF TITLE & SIGNATURE REQUIREMENTS

Title for goods purchased passes from Burvonti to the purchaser's designee at the time that goods are delivered and signed for. For your protection, Burvonti requires that all deliveries of engagement rings must be made to a physical business or home address only; we do not ship to P.O. Box addresses. We require an adult to sign for the delivery.

USER SUBMISSIONS & SOCIAL MEDIA CONTENT

Any feedback or submissions, including but not limited to questions, comments, suggestions, or ideas provided by you to Burvonti in any form are non-confidential and shall become the sole property of Burvonti. Furthermore, when you tag Burvonti in social media User Content (photos, text, video), you grant Burvonti and its affiliates a worldwide, perpetual, irrevocable, royalty-free, fully-paid, non-exclusive, transferable right to use your social media User Content in any manner, including marketing, promotional e-mails, and advertisements. You represent that you own all rights in and to your social media User Content.

SMS/TEXT MESSAGE MARKETING COMMUNICATIONS

By enrolling in our text messaging service, you provide your prior express written consent to receive recurring automated promotional and customer service text messages from Burvonti. Consent is not a condition of any purchase. Message and data rates may apply. You can opt out at any time by texting "STOP", "END", or "QUIT".

THIRD-PARTY CONTENT & LINKS

Burvonti may provide links to Web pages and content of third parties ('Third Party Content') as a service. Burvonti does not monitor or have any control over any Third Party Content or third party Sites. Your use of these links and Third Party Content is at your own risk.

DISCLAIMER OF WARRANTIES

THIS SITE, THE CONTENT CONTAINED THEREIN AND THE PRODUCTS PROVIDED IN CONNECTION THEREWITH (THE "PRODUCTS") ARE PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS. BURVONTI MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, AS TO THE OPERATION OF THIS SITE OR THE INFORMATION, CONTENT, MATERIALS OR PRODUCTS INCLUDED ON IT. YOU EXPRESSLY AGREE THAT YOUR USE OF THIS SITE IS AT YOUR SOLE RISK. WITHOUT LIMITING THE FOREGOING, BURVONTI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND/OR FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

LIMITATION OF LIABILITY

IN NO EVENT SHALL BURVONTI, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR DAMAGES OF ANY KIND ARISING FROM THE USE OF THIS SITE, INCLUDING, BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE AND CONSEQUENTIAL DAMAGES OR LOSS OF PROFITS, WHETHER IN CONTRACT OR TORT, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF OUR SITE OR THE PRODUCTS. IN NO EVENT SHALL BURVONTI'S TOTAL AGGREGATE LIABILITY BE GREATER THAN THE PRICE YOU PAID FOR THE PRODUCT OR SERVICE THAT IS THE BASIS FOR THE CLAIM.

DISPUTES, ARBITRATION, MASS ARBITRATION, & CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT IMPACTS YOUR LEGAL RIGHTS.

  • Binding Arbitration: Any dispute relating in any way to the Site or products sold shall be resolved exclusively through confidential, final, and binding arbitration. The Federal Arbitration Act ("FAA") applies to this agreement. YOU ARE GIVING UP THE RIGHT TO LITIGATE A DISPUTE IN COURT BEFORE A JUDGE OR JURY.

  • Mass Arbitrations (Staged Procedure): If 25 or more claimants (including you) submit Demands raising similar claims, and such circumstances meet the definition of mass arbitrations under JAMS Mass Arbitration Procedures, you agree to the following staged process:

    • Stage One: Counsel for the claimants and Burvonti shall each select 15 Claims per side (30 Claims total) to proceed in individual arbitrations. Any remaining Claims shall not be filed or assessed arbitration fees.

    • Stage Two: If the remaining Claims are not resolved, counsel shall each select 20 Claims per side (40 Claims total) to proceed in a second staged process.

    • This process continues in batches until all claims are adjudicated or settled. This procedure is designed to promote efficiencies and resolve disputes fairly.

  • CLASS ACTION WAIVER: YOU AND BURVONTI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

  • Governing Law: These Terms and your use of the Site shall be governed by the laws of the State of Delaware [or California], without resort to its conflict of law provisions.

SEVERABILITY

If any provision of these Terms and Conditions shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and Conditions and shall not affect the validity and enforceability of any remaining provisions.
